The arbitration will be administered by the American Arbitration Association under its applicable consumer arbitration rules, unless you and SouthPoint Financial agree otherwise in writing. Arbitration may be conducted remotely, by documents-only submission, by telephone, by video conference, or in another mutually agreed location, as permitted by the applicable rules.

Nothing in this section prevents either party from bringing an individual claim in small claims court, if eligible, or from seeking temporary or preliminary injunctive relief in a court of competent jurisdiction to prevent immediate and irreparable harm.

If any part of this arbitration section is found unenforceable, the remaining portions will remain in effect to the fullest extent permitted by law, except that if the class action waiver is found unenforceable in a particular claim, then that claim shall proceed in a court of competent jurisdiction and not in arbitration. This section survives termination of your relationship with SouthPoint Financial and continued use of the platform.

Section 15
Governing Law

These Terms and Conditions are governed by the laws of the State of Florida, without regard to its conflict of law principles. To the extent any dispute is not subject to arbitration, it shall be subject to the exclusive jurisdiction of the state or federal courts located in Florida, and you consent to such jurisdiction and venue.

Changes to These Terms

SouthPoint Financial reserves the right to update or modify these Terms and Conditions at any time. The effective date at the top of this page will be updated whenever changes are made. Your continued use of this platform after revised Terms and Conditions are posted constitutes your acceptance of the updated terms.

We encourage you to review these Terms periodically to stay informed of any updates.

Section 17
Severability

If any provision of these Terms and Conditions is determined to be unlawful, void, or unenforceable, that provision shall be deemed severed and the remaining provisions shall remain in full force and effect to the fullest extent permitted by law.

Section 18
No Waiver

No waiver by SouthPoint Financial of any term or condition set forth in these Terms and Conditions shall be deemed a further or continuing waiver of that term or condition or a waiver of any other term or condition. Any failure by SouthPoint Financial to assert a right or provision under these Terms and Conditions shall not constitute a waiver of that right or provision.

Section 19
Entire Agreement

These Terms and Conditions, together with any policies or disclosures expressly incorporated by reference, including our Privacy Policy, constitute the entire agreement between you and SouthPoint Financial regarding your use of the platform and supersede all prior and contemporaneous understandings, communications, and proposals, whether oral or written, relating to that subject matter.
